For Companies:

  • Verifying employment records consents to future employer contact
  • Contact details provided may be shared with prospective employers

1. Acceptance of Terms

By accessing or using the Sicklo platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not access or use the Service. These Terms constitute a legally binding agreement between you and Sicklo Limited ("Sicklo", "we", "us", or "our"), a company registered in England and Wales. These Terms apply to all users of the Service, including: • Employees seeking to build verified employment histories ("Employees") • Companies or employers seeking to verify employment records ("Companies") • Prospective employers requesting access to Employee profiles ("Prospective Employers") • All visitors to our website and platform By creating an account, you represent and warrant that: • You are at least 18 years of age • You have the legal capacity to enter into these Terms • You are not prohibited from using the Service under applicable laws • All information you provide is accurate, current, and complete

2. Description of Service

Sicklo is a professional employment verification platform that enables: • Employees to create and maintain verified employment records, including attendance and sick day information • Companies to verify the employment history of current or prospective employees • Secure sharing of verified employment profiles between Employees and authorised Companies • Prospective Employers to contact previous employers for reference verification • AI-powered identity verification through facial recognition technology • Team member management allowing companies to delegate verification responsibilities 2.1 Sicklo Score The Service calculates a "Sicklo Score" (ranging from 0-100) based on verified employment data, which includes: • Attendance rates and sick day patterns • Verification status of employment records (verified, pending, disputed) • Employer recommendations and rehire eligibility responses • Profile completeness (photo, ID verification, contact details) • Length and consistency of employment history The Sicklo Score is designed to provide employers with a standardised reliability indicator. A higher score generally indicates better attendance history and more verified employment records. 2.2 Team Member Accounts Companies may create team member accounts to: • Assist with employment verification requests • View employee profiles shared with the parent company • Manage access requests on behalf of the company • Team members operate under the parent company's permissions and data access rights 2.3 Service Modifications We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Profile Sharing and Contact Consent

3.1 Employee Consent When Sharing Profile BY SHARING YOUR PROFILE WITH ANY USER (INCLUDING PROSPECTIVE EMPLOYERS, COMPANY OWNERS, OR TEAM MEMBERS), YOU EXPRESSLY CONSENT TO AND AUTHORISE THE FOLLOWING: • The recipient has the right to use all information contained in your shared profile for employment and reference verification purposes • The recipient may contact any and all previous employers listed in your profile via telephone (mobile and landline), email, and postal mail • Previous employers may be contacted to verify employment dates, job titles, attendance records, and reasons for leaving • Reference conversations may take place regarding your employment history, performance, conduct, attendance, and suitability for rehire • Contact details provided by previous employers during verification may be shared with the profile recipient 3.1.1 Automatic Profile Sharing for Verification Requests BY SUBMITTING AN EMPLOYMENT RECORD FOR VERIFICATION BY AN EMPLOYER, YOU EXPRESSLY CONSENT TO AND ACKNOWLEDGE: • Your profile will be AUTOMATICALLY SHARED with the employer (or their parent company) to whom you submit the verification request • This automatic sharing grants the employer access to view your full Sicklo profile, including your employment history, Sicklo Score, and uploaded identity documents • This profile access remains active until you explicitly revoke it through your Access management settings • This automatic sharing is necessary for the employer to properly verify your employment record and assess your profile • If you submit to a team member's email, access will be granted to the parent company and the team member's email will be displayed in your Access records for transparency 3.1.2 Team Member Access When you share your profile with a company: • All authorised team members of that company may view your shared profile • Team member access is governed by the parent company's account • You will see the team member's email in brackets next to the company name when they request or receive access (e.g., "Company Ltd (teamuser@email.com)") • Revoking access from the parent company revokes access for all team members 3.2 Scope of Information Use When you share your profile, the recipient is entitled to: • View and retain copies of your employment history and verification records • View your uploaded identity document (ID card, passport, or driver's licence) • Download a copy of your identity document for their records and verification purposes • Use your Sicklo Score and reliability badge in employment decisions • Contact previous employers without further notice to you • Share relevant information with their internal HR and hiring teams • Store your information for the duration specified in their own data retention policies 3.2.1 Identity Document Consent BY UPLOADING AN IDENTITY DOCUMENT TO SICKLO, YOU EXPRESSLY CONSENT TO: • Your ID being visible to any employer with whom you share your profile • Employers downloading and retaining copies of your ID for employment verification • Your ID being used to verify your identity and employment eligibility • AI-powered facial recognition comparison between your profile photo and ID document • Storage of your ID document in accordance with our data protection policies 3.3 Duration of Contact Consent The consent to contact previous employers remains valid: • For the duration that profile access is granted • Until you explicitly revoke access through the Sicklo platform • For a reasonable period after access is revoked to complete ongoing reference checks (maximum 30 days) 3.4 Acknowledgement By sharing your profile, you acknowledge that: • You cannot control the content of conversations between prospective employers and your previous employers • Sicklo is not liable for any employment decisions resulting from such communications • Previous employers are not obligated to respond to enquiries • Reference information provided may differ from your submitted records

4. Company Verification and Contact Consent

4.1 Company Consent to Future Contact BY VERIFYING AN EMPLOYEE'S EMPLOYMENT RECORD THROUGH SICKLO, THE COMPANY EXPRESSLY CONSENTS TO AND AGREES: • To be contacted by prospective employers of that Employee for reference purposes • To respond to reasonable reference enquiries in a timely manner • That contact details provided during registration or verification may be shared with prospective employers • To provide honest, accurate, and fair responses to reference enquiries • To comply with applicable data protection and employment laws when providing references 4.2 Contact Methods Companies agree that they may be contacted via: • The primary business telephone number provided • Individual contact numbers for designated reference contacts • The registered business email address • The registered business postal address 4.3 Reference Standards Companies agree to: • Provide references that are factually accurate • Not provide misleading or malicious references • Respond to verification requests within a reasonable timeframe (typically 5 business days) • Designate appropriate personnel to handle reference enquiries

5. User Accounts and Registration

5.1 Account Creation To use certain features of the Service, you must register for an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential (minimum 8 characters recommended) • Notify us immediately of any unauthorised use of your account • Not create more than one account per person or entity 5.2 Account Types • Employee Accounts: For individuals seeking to build and share verified employment histories • Company Accounts: For businesses seeking to verify employment records and respond to verification requests • Admin Accounts: For Sicklo personnel managing the platform (not available for public registration) 5.3 Account Security You are solely responsible for: • All activities that occur under your account • Maintaining the confidentiality of your login credentials • Any losses arising from unauthorised use of your account 5.4 Account Suspension and Termination Sicklo reserves the right to suspend or terminate accounts that: • Violate these Terms or applicable laws • Provide false or misleading information • Engage in fraudulent activity • Remain inactive for more than 24 months • Are the subject of repeated complaints from other users

6. Data Privacy and Protection

6.1 Data Collection We collect personal information necessary to provide the Service, including: • Name, email address, phone number, and date of birth • Employment history and attendance records • Profile photographs and identity documents • Contact details for reference purposes • Device and usage information • Biometric data (facial recognition for identity verification) 6.2 Data Use Your data is used to: • Provide, maintain, and improve the Service • Facilitate employment verification and reference checks • Calculate and display Sicklo Scores • Enable authorised contact between parties • Perform AI-powered identity verification (comparing profile photos with ID documents) • Detect and prevent fraud or abuse • Comply with legal obligations 6.3 UK GDPR and Data Protection Act 2018 Compliance For users in the United Kingdom, we comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. You have the right to: • Access your personal data • Rectify inaccurate data • Request erasure of your data (subject to legal retention requirements) • Restrict or object to processing • Data portability • Withdraw consent at any time For full details, please see our Privacy Policy. 6.4 Data Retention Periods We retain different categories of data for varying periods: • Account information: Duration of account + 31 days after deletion • Employment records: Duration of account + 7 years (for legal compliance) • Verification history: 7 years from verification date • Profile photos and ID documents: Duration of account + 31 days after deletion • Communication logs: 3 years • Analytics and usage data: 2 years (anonymised thereafter) 6.5 Biometric Data We process biometric data (facial recognition) solely for identity verification purposes: • Facial comparison between profile photo and uploaded ID document • Data is processed using AI technology (Gemini Vision API) • Biometric data is not stored permanently - only verification results are retained • You may request deletion of biometric verification results at any time 6.6 International Data Transfers Your data may be processed outside the UK. We ensure appropriate safeguards are in place for international transfers in compliance with applicable data protection laws. 6.7 Cookies and Tracking We use cookies and similar technologies to: • Maintain your login session • Remember your preferences • Analyse usage patterns • Improve service performance For full details, please see our Cookie Policy.

7. User Conduct and Prohibited Activities

You agree not to: • Submit false, misleading, or fraudulent employment information • Provide incorrect contact details to avoid reference enquiries • Impersonate another person or entity • Use the Service for any unlawful purpose • Attempt to gain unauthorised access to other user accounts or systems • Interfere with or disrupt the Service or its infrastructure • Share your account credentials with others • Harass, abuse, or threaten other users • Use automated systems (bots, scrapers) to access the Service • Circumvent any security measures or access restrictions • Upload malicious code, viruses, or harmful content • Collect personal information of other users without consent • Use the Service for spam, phishing, or unsolicited communications Violation of these provisions may result in immediate account termination, legal action, and reporting to appropriate authorities.

8. Intellectual Property

8.1 Sicklo Ownership The Service, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Sicklo Limited and is protected by copyright, trademark, and other intellectual property laws. 8.2 Limited Licence We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. This licence does not include the right to: • Modify, copy, or create derivative works • Reverse engineer or decompile any software • Remove any copyright or proprietary notices • Use our trademarks without written permission 8.3 User Content You retain ownership of content you submit to the Service. By submitting content, you grant Sicklo a worldwide, non-exclusive, royalty-free licence to use, store, and display such content as necessary to provide the Service. 8.4 Feedback Any feedback, suggestions, or ideas you provide about the Service may be used by Sicklo without compensation or attribution.

9. Payment Terms

9.1 Free and Paid Services Sicklo currently offers the following service tiers: • Free Tier: Basic employee profile, employment record submission, profile sharing • Premium Features (Coming Soon): Enhanced verification priority, advanced analytics, bulk verification We reserve the right to introduce paid features with 30 days' notice to users. 9.2 Payment Processing Payments are processed securely through third-party payment providers (Stripe). By making a payment, you agree to the terms of the payment provider. We do not store your full payment card details. 9.3 Refunds Refund requests are handled on a case-by-case basis. Generally, refunds may be provided: • Within 14 days of purchase for unused services • Where there has been a material defect in service delivery • As required by consumer protection laws (including the Consumer Rights Act 2015) To request a refund, contact admin@sicklo.com with your order details. 9.4 Subscription Cancellation You may cancel subscription services at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for early cancellation unless required by law. 9.5 Failed Payments If a payment fails: • We will notify you via email • You will have 7 days to update your payment method • Access to premium features may be suspended until payment is resolved • After 30 days of non-payment, your account may be downgraded to the free tier

10. Disclaimers and Limitations

10.1 Service Provided "As Is" THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 10.2 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SICKLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100. 10.3 Contact Facilitation Disclaimer Sicklo facilitates contact between parties but is not responsible for: • The content or accuracy of communications between parties • Employment decisions made by any party • The conduct of users during reference communications • References provided by employers (positive or negative) 10.4 No Employment Guarantee Use of Sicklo does not guarantee employment, verification success, or positive references. Employment decisions are solely at the discretion of employers.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sicklo, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any rights of another party • Any content you submit to the Service • Any false or misleading information you provide • Your interactions with other users This indemnification obligation shall survive termination of these Terms and your use of the Service.

12. Termination

12.1 Termination by You You may terminate your account at any time by: • Using the account deletion feature in your settings • Contacting us at admin@sicklo.com Before deletion, you may request a copy of your data (see Section 12.5). 12.2 Termination by Sicklo We may terminate or suspend your account immediately, without prior notice, if: • You breach these Terms • We are required to do so by law • We discontinue the Service • Your account is used for fraudulent activity 12.3 Effect of Termination Upon termination: • Your right to access the Service ceases immediately • We may delete your account and data (subject to legal retention requirements) • Provisions that by their nature should survive will remain in effect (including indemnification, disclaimers, and limitations of liability) • Any pending verification requests will be cancelled • Profile access granted to third parties will be revoked 12.4 Data Retention After Termination Following account deletion: • Your personal data will be removed within 31 days • Employment verification records may be retained for up to 7 years for legal compliance • Anonymised data may be retained for statistical purposes • Legal retention requirements may require us to retain certain data longer 12.5 Data Export Before deleting your account, you may request an export of your data: • Request via admin@sicklo.com or through your account settings • Export will be provided within 30 days in a machine-readable format (JSON/CSV) • Export includes: profile information, employment records, verification history • Export does not include: data provided by third parties (employer verifications) 12.6 Account Reactivation If you wish to reactivate a deleted account: • Contact admin@sicklo.com within 30 days of deletion • Reactivation is subject to data availability and our discretion • After 30 days, account data cannot be recovered

13. Dispute Resolution

13.1 Informal Resolution Before initiating formal proceedings, you agree to contact us at admin@sicklo.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 days. 13.2 Governing Law These Terms are governed by and construed in accordance with the laws of England and Wales. 13.3 Jurisdiction Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. 13.4 Class Action Waiver To the fullest extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in a class action or collective proceeding. 13.5 Time Limitation Any claim arising from these Terms or the Service must be brought within one (1) year of the date the cause of action arose.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. For material changes, we will provide notice via: • Email to your registered address • Prominent notice on the platform • In-app notification Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account. We encourage you to review these Terms periodically to stay informed of any updates.

15. General Provisions

15.1 Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sicklo regarding the Service and supersede all prior agreements. 15.2 Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 15.3 Waiver Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. 15.4 Assignment You may not assign or transfer these Terms without our prior written consent. Agreement

By using Sicklo, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including the consent provisions for contact between employers.

If you do not agree to these Terms, please do not use the Service.
